1. Meaning of Words
In these conditions the following words and expressions shall have the following meanings:

“Company” means “Hayley Lehmann Ltd”

“Client” means any person with whom the Company enters into an agreement subject to these conditions

“Contract” means any agreement made subject to these conditions

2. Terms and Conditions
It is mutually agreed that the following terms of agreement form an integral part of this contract and that no variation or modification of this contract shall be effective unless accepted by the Company in writing.

Unless expressly stated by the Company in writing, all quotations, orders made, and images supplied are accepted on the following terms and conditions.

These conditions constitute the entire understanding of the parties and shall apply to the contract to the exclusion of any other contractual terms and conditions. These conditions may not be varied or waived except with the express written agreement of the Company. No contractual terms and conditions sent by the Client to the Company shall be of any effect with respect to the contract unless expressly accepted by the Company in writing. The holding, banking, negotiation or other use of any deposit shall not constitute acceptance by the Company of an order.

3. Copyright
This site is solely for the private, personal, non-commercial use by its users. The materials contained in this site are displayed for viewing purposes only. You may not download or copy any materials in this site. No right, title or interest in any material or software is transferred to you as a result of any such downloading or copying.

This website and all the images contained within it are protected by copyright and may not be reproduced in any way whatsoever without prior written authorisation from the Company.

The copyright of all images produced by the Company, including but not restricted to photographs, design, stationery, graphics and the selection and arrangement thereof, is retained by the Company. Original data files remain the property of the Company.

It is a criminal offence to make copies of such images by any means including video or by digital imaging, scanning or other electronic means under the terms of the COPYRIGHT, DESIGNS and PATENTS ACTS 1988. The period of copyright shall expire "at the end of the period of 50 years from the end of the calendar year in which the author dies" - Source: Copyright, Design and Patents Act 1988.

4. Orders
The Company reserves the right to accept or refuse orders (if it refuses to accept an order, the Client’s credit card account will be credited with the amount originally debited on the instructions of the Client [less any reasonable handling or administration charge">).

The Company may terminate or suspend any services under the contract without notice in the event of any failure by the Client to observe or perform any of their obligations under any agreement (including the Contract) between the Client and the Company or if the Company has reasonable grounds to believe that the Client will or is likely to fail to observe or perform any such obligation.

5. Prices
Prices are in accordance with the prevailing prices quoted elsewhere in this website at the time an order or enquiry is received or otherwise as agreed in writing between the Client and the Company.

6. Payment Security
When making an online payment to the Company, your transaction is normally sent to our server via a secure connection using Secure Socket Layer (SSL) architecture that has been encrypted using a minimum of 40bit encryption to protect the credit card.

Please note, due to the nature of our secure payment system, your credit card is authorised at the point of sale. Your card will then be billed within 5 days of authorisation. Should you decide to buy via off-line methods you will only be charged for items once they are ready for despatching.

We accept the following credit cards: - Visa, MasterCard, Delta and Switch. We also accept cheques, postal orders, money orders and cash. When sending cash, money orders or postal orders, this must be sent via Recorded Delivery or an equivalent secure method. Cheques must be made payable to ‘Hayley Lehmann Ltd’.

The Company reserves the right to charge interest on overdue payments under the contract, at the rate of 3% of the total invoiced amount, per month or part thereof.

7. Title
Title in all photographic material supplied by the Company to the Client shall remain in the Company until the Company has received payment in full for such goods.

8. UK Delivery
Any time or date quoted by the Company for delivery or performance by the Company is an estimate only and the Company shall not be liable for any loss or damage whatsoever arising from a failure to deliver within such time or date quoted for delivery or performance. The Company accepts no liability whatsoever for the condition of goods or timing of deliveries where an outside carrier is used.

9. Overseas Delivery
The means of overseas delivery of photographic material under this contract shall be in the sole discretion of the Company save where specified by the Client and accepted by the Company. Acceptance by the Company of the means of overseas delivery specified by the Client shall be deemed to have been given by the Company on acceptance of the order provided that the Company may vary the means of overseas delivery at its sole discretion where it shall not prove reasonably expedient for the Company to use the method specified by the Client and in such event the Client shall be liable to the Company for any additional charges or costs incurred by the Company in connection with such variation. Delivery charges to any country other than the United Kingdom are charged at the going rate at the time of order. The Company accepts no liability whatsoever for the condition of goods or timing of deliveries where an outside carrier is used.

10. Cancellation of Orders for Prints
The Client may cancel an order within 24 hours of placing that order (except for low resolution digital images which are dispatched via e-mail as soon as your payment is processed). If the Client wishes to cancel an order with the Company, the Client should please e-mail the Company at info@hayleylehmann.co.uk specifying the Client’s order number and confirming the Client’s cancellation request. The Client can also telephone the Company on 020 8447 0728 or fax the Company on 020 8441 0528. The Company regrets that after this time no cancellations will be accepted and all sales are final.

In the event that the Client chooses to cancel an order, subject to the Consumer Protection (Distance Selling) Regulations 2000 (SI 2000 No. 2334) the Company may charge the Client with any costs incurred, together with an administration fee of 25%.

11. Failure to Perform
If the Company cannot perform this Agreement due to fire or other casualty, strike, act of God, or other cause beyond the control of the parties, then the Company shall refund all monies to the Client but shall have no further liability with respect to the Agreement.

This limitation on liability shall also apply in the event that any order is lost in the mail, or otherwise lost or damaged without fault on the part of the Company.

In the event that the Company fails to perform for any other reason, the Company shall not be liable for any amount in excess of the retail value of the Client’s order.

12. Photo-chromatic anomaly
Owing to reflectance caused by a combination of certain dyes and materials, especially man made fibres, it is sometimes impossible to record the exact colour of a garment as seen by the human eye. The photographs will provide a pleasing colour balance based on the flesh tones of the subjects but the Company cannot guarantee an exact colour match. The Company will use all reasonable skill to produce pleasing prints.

13. Usage of Images
The Client is obtaining prints for personal use only, and shall not sell said prints or authorise any reproductions thereof by parties other than the Photographer. If the Client is obtaining a print for newspaper announcement of the Event, the Company authorises the Client to reproduce the print in this manner. In such event, the Client shall request that the newspaper run a credit for the Photographer adjacent to the photograph, but shall have no liability if the newspaper refuses or omits to do so.

The Company reserves the rights to use the photographs taken at the Event to promote the Company’s business in advertising, brochures, magazine articles, on the world wide web or otherwise providing that the images used are used lawfully and without damage to the Client. The use of such photographs shall be without payment to the Customer.

14. Liability
The due performance under any Agreement is subject to alteration or cancellation by the Company owing to any cause beyond their control. Your statutory rights are not affected.

The Company accepts no liability for any loss (whether direct or indirect, for loss of business, revenue or profits, wasted expenditure, corruption or destruction of data or for any other indirect or consequential loss whatsoever) arising from your use of this site and hereby excludes any such liability, whether in contract, tort (including for negligence) or otherwise. The Company hereby excludes all representations, warranties and conditions relating to this website and your use of it to the maximum extent permitted by law.

The Client hereby agrees to indemnify the Company and keep the Company indemnified against all costs, expenses, claims, losses, liabilities or proceedings arising from use, misuse or abuse by the Client of this site.

15. Waiver, modification and Governing Law
This Agreement incorporates the entire understanding of the parties. Any modifications of this Agreement must be in writing and signed by both parties. Any waiver of a breach or default hereunder shall not be deemed a waiver of a subsequent breach or default of either the same provision or any other provision of this Agreement. This Agreement shall be governed by the laws of England and Wales.

16. Changes to Terms and Conditions
These terms and conditions may be changed by the Company at any time. The Client will be deemed to accept the terms and conditions (as amended) when the Client next uses this site following any amendment.

If any provision of these terms and conditions is held to be invalid by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
